Terms of Service

1. Agreement & Eligibility

These Terms of Service ("Terms") are a legally binding agreement between you and WOMi Technologies Inc. ("WOMi," "we," "us," or "our"), governing your use of the WOMi platform, including the website at womiapp.com (the "Web Platform"), the WOMi mobile applications for iOS and Android (the "Mobile Apps"), and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Account Registration

To access certain features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information as needed
• Keep your login credentials secure and not share them with others
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We use Supabase for authentication. You may sign in using email or supported social authentication providers. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Service Description

WOMi is a word-of-mouth marketing platform that connects consumers with local service businesses. The Service includes:

• For businesses: a web-based dashboard to create and manage deals, track referrals, view analytics, and manage subscription billing
• For consumers: the ability to discover local deals, claim offers, redeem rewards via QR codes, earn cashback through referrals, and manage a digital wallet (on both Web Platform and Mobile Apps)
• Referral tracking: a system of unique links and QR codes that tracks word-of-mouth referrals and attributes rewards accordingly

The Service is available through the Web Platform at womiapp.com and through the Mobile Apps. Features may vary between platforms. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

4. Subscription Plans & Billing

4.1 Plans

WOMi offers the following subscription tiers for business accounts:

• Starter ($39/month):up to 3 active deals, cash & store-credit rewards, QR codes and shareable links, redemption management, and deal performance tracking
• Growth ($79/month):everything in Starter, plus unlimited active deals, the full Loyalty Suite (welcome rewards, visit milestones, win-back offers, gifts), the Referral Network Map, AI-powered deal suggestions ("WOMi Deal Coach"), custom branding, and priority support

New business accounts begin with a 30-day free trial of the selected paid plan, no credit card required to start. Consumer accounts are always free; consumers earn rewards through deal redemptions and referrals at no cost to them.

4.2 Billing

Business subscriptions are billed monthly through Stripe Billing. By subscribing to a paid plan, you authorize WOMi to charge your payment method on a recurring basis until you cancel.

• Subscription fees are charged at the beginning of each billing period
• All fees are in US dollars and are non-refundable except as required by law
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• We reserve the right to change pricing with at least 30 days notice to active subscribers

4.3 Free Trials

We may offer free trial periods for paid plans. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the applicable rate.

5. QR Code System

WOMi uses QR codes and unique links to facilitate deal redemption and referral tracking. By using the QR code system, you agree to:

• Use QR codes and referral links only for their intended purpose
• Not duplicate, forge, or manipulate QR codes or referral links
• Not automate or script deal claims or redemptions
• Accept that QR codes may expire or be deactivated at the discretion of the business or WOMi

Businesses are responsible for verifying redemptions before confirming them. WOMi is not liable for redemptions that a business confirms in error.

6. Rewards & Payments

6.1 Consumer Rewards

Consumers may earn cashback or store credit rewards by claiming and redeeming deals and by referring new customers. Reward amounts are set by the business creating the deal.

• Cashback rewards are deposited into your WOMi wallet after a business confirms the redemption
• Withdrawals are processed through Stripe Connect with a minimum withdrawal amount of $10.00. Standard payouts (1–3 business days) are free of charge; instant payouts (typically under 30 minutes) carry a 1% fee deducted from the payout amount before transfer
• You are responsible for any taxes owed on rewards received
• Rewards may be subject to verification and fraud review before payout

6.2 Platform Fee on Rewards

WOMi does not charge a platform fee on redemption rewards. Consumers receive the full cashback or store-credit amount the business funded for the deal. WOMi's revenue comes from business subscriptions (Section 4) and the 1% instant-payout fee disclosed in Section 6.1.

6.3 Payment Processing

All payments are processed through Stripe. By using payment features of the Service, you also agree to Stripe's Terms of Service. WOMi is not responsible for errors or delays caused by Stripe or your financial institution.

7. AI Features

The Growth subscription tier includes AI-powered features such as deal suggestions and marketing insights, powered by Claude (Anthropic). By using AI features, you acknowledge and agree that:

• AI-generated content, including deal suggestions, marketing copy, and analytics insights, is provided for informational purposes only and does not constitute professional business, legal, financial, or marketing advice
• You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing or acting on it
• AI outputs may be inaccurate, incomplete, or unsuitable for your specific situation
• WOMi does not guarantee the accuracy, reliability, or suitability of AI-generated suggestions
• Your business data used to generate AI suggestions is processed in accordance with our Privacy Policy and is not used to train third-party AI models

8. User Conduct

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Create fake accounts, generate fraudulent referrals, or manipulate the rewards system
• Use bots, scrapers, or automated tools to interact with the Service
• Post or transmit harmful, threatening, abusive, or misleading content
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Impersonate another person or business
• Circumvent any security or access controls

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

9. Intellectual Property

The Service, including its design, code, branding, logos, and content (excluding user-generated content), is owned by WOMi Technologies Inc. and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you create on the Service (including deal descriptions, business profiles, share / referral messages, and imagery uploaded for redemptions or proof of purchase). By posting content, you grant WOMi a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

You may not use WOMi trademarks, logos, or branding without our prior written consent, except as necessary to participate in the referral program (such as sharing WOMi-generated referral links and QR codes).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOMI TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO WOMI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WOMI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WOMi does not guarantee that any deal, reward, or referral will result in a specific outcome. Businesses are solely responsible for honoring their published deals. WOMi is a platform that facilitates connections between businesses and consumers and is not a party to transactions between them.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

11.2 Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered in Sacramento County, California, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against WOMi.

11.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

12. Termination

You may terminate your account at any time by deleting it through your account settings or by contacting us at info@womiapp.com.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• Any pending subscription period will continue until the end of the current billing cycle (no prorated refunds)
• Any earned but unwithdrawn rewards in your wallet must be withdrawn within 30 days of termination; unclaimed balances after this period may be forfeited
• Provisions that by their nature should survive termination (including liability limitations, dispute resolution, and intellectual property) will remain in effect

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the Service or by email.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and close your account.
